How this calculator works
Formation is a one-time state fee. The recurring input is an annual budget amount: a biennial fee is divided by two, so a projection is not an invoice schedule. Add your registered-agent quote each year and, if selected, a $150 operating-agreement planning allowance once. The IRS charges no EIN application fee. The calculator adds the annual budget in year one and each projected year; actual first-report timing can differ. Publication, licenses, income or revenue-based taxes, penalties and professional advice are excluded. California’s $800 input excludes its separate biennial statement and revenue-banded LLC fee; use the state notes before budgeting.

| State | Formation fee | Annual recurring budget | Filing schedule and exclusions | Evidence and recorded date |
|---|---|---|---|---|
| Alabama | $200 | $0 | Business Privilege Tax (most small LLCs owe $0): $0 per year. No annual report. Alabama LLCs file no Secretary of State annual report. What Alabama levies is a Business Privilege Tax collected by the Department of Revenue, and since the 2024 tax year any LLC whose calculated tax is $100 or less is fully exempt and need not file the return at all. Larger LLCs owe the calculated amount above $100. Alabama also requires a $25 name reservation before formation, on top of the $200 certificate of formation. | Alabama Department of Revenue — Business Privilege Tax filing changes; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Alaska | $250 | $50 | Biennial Report Fee: $100 per filing. Due January 2 of each filing year. Alaska bills $100 per biennial filing, which is about $50 a year. Late: a late fee taking the total to $137.50 from February 2. | Alaska Division of Corporations — Biennial Reports FAQ; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Arizona | $50 | $0 | Annual Report Fee: $0 per year. Arizona is one of the few states that requires no LLC annual report at all. Newly formed Arizona LLCs must instead publish a notice of formation in an approved newspaper unless they are in Maricopa or Pima County. | Arizona Corporation Commission — LLC forms; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Arkansas | $45 | $150 | Annual LLC Franchise Tax: $150 per year. No annual report. Due May 1. Arkansas levies a flat $150 franchise tax on every LLC regardless of income or size, rather than a graduated report fee. Formation is $45 online or $50 on paper. | Arkansas Secretary of State — LLC forms and fees; agency text checked; 2026-08-25. Formation: Arkansas Secretary of State. |
| California | $70 | $800 | Annual LLC Tax (Franchise Tax Board): $800 per year. No annual report. Due the 15th day of the 4th month of the taxable year. This $800 is owed even with zero revenue. It excludes two other recurring California costs: the $20 biennial Statement of Information filed with the Secretary of State (missing which carries a separate $250 penalty), and the revenue-banded LLC fee that starts at $900 once California income reaches $250,000 and rises to $11,790 above $5,000,000. | California Franchise Tax Board — Limited liability company; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Colorado | $50 | $25 | Periodic Report Fee: $25 per year. Due the anniversary month, with a five-month window around it. Colorado calls this a Periodic Report, not an annual report. Late: a $50 late filing penalty — double the report fee itself. | Colorado Secretary of State — Business fee schedule; agency text checked; 2026-08-25. Formation: Colorado Secretary of State. |
| Connecticut | $120 | $80 | Annual Report Fee: $80 per year. Due March 31, with the window opening January 1. | Connecticut Business Hub — Domestic LLC forms and fees; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Delaware | $110 | $400 | Annual LLC Franchise Tax: $400 per year. No annual report. Due June 1. Delaware LLCs file no annual report at all — the $400 is an alternative-entity tax, and it is not prorated for a partial year. Late: $200 penalty plus 1.5% interest per month on tax and penalty. | Delaware Division of Corporations — LLC/LP/GP Franchise Tax Instructions; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Florida | $125 | $138.75 | Annual Report Fee: $138.75 per year. Due May 1. Late: a $400 late fee (the report costs $538.75 after May 1), then administrative dissolution, with reinstatement at $100 plus every missed annual report fee. | Florida Division of Corporations (Sunbiz) — Fees; agency text checked; 2026-08-25. Formation: Florida Division of Corporations. |
| Georgia | $110 | $60 | Annual Registration Fee: $60 per year. Due April 1, with the window opening January 1. Georgia calls this an Annual Registration. The $60 is $50 plus a $10 service charge, and the $110 to form is likewise $100 plus $10. | Georgia Secretary of State — Corporations Division filing fees; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Hawaii | $51 | $15 | Annual Report Fee: $15 per year. Due the last day of the quarter in which the LLC was formed. Hawaii adds a mandatory $1 State Archives fee to the $50 articles of organization, so forming costs $51. The annual report is due by the end of your formation quarter — 31 March, 30 June, 30 September or 31 December — rather than on a fixed nationwide date. | Hawaii DCCA — Domestic Limited Liability Company; agency text checked; 2026-08-25. Formation: Hawaii Department of Commerce and Consumer Affairs. |
| Idaho | $100 | $0 | Annual Report (no fee): $0 per year. Due the end of the anniversary month, every year. Idaho charges no fee for the annual report, but filing it is mandatory and missing it leads to administrative dissolution. Formation is $100 online or $120 on paper. | Idaho Secretary of State — Business forms; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Illinois | $150 | $75 | Annual Report Fee: $75 per year. Due before the first day of the anniversary month. | Illinois Secretary of State — LLC filing instructions; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |

| Kansas | $85 | $45 | Information Report Fee: $90 per filing. Due April 15 of the matching filing year, every second year. Kansas calls this an Information Report and bills it every two years at $90 online or $110 on paper. Kansas also cut its formation fee to $85 online ($90 on paper) — our earlier $160 was out of date. | Kansas Secretary of State — business entity forms and fees; agency reference; amount not independently confirmed; 2026-08-25. Formation: Kansas Secretary of State. |
| Kentucky | $40 | $15 | Annual Report Fee: $15 per year. Due June 30, with the filing window opening January 1. | Kentucky Secretary of State — Annual Reports; agency text checked; 2026-08-25. Formation: Kentucky Secretary of State. |

Formation: compiled survey; confirm the fee with the state. |
| Maine | $175 | $85 | Annual Report Fee: $85 per year. Due June 1. | Maine Secretary of State — Filing Requirement Reminders; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Maryland | $100 | $300 | Annual Report / Personal Property Return: $300 per year. Due April 15. Maryland files this as a combined annual report and personal property return with SDAT rather than with a Secretary of State. Entities qualifying through MarylandSaves may have the $300 waived. | Maryland State Department of Assessments and Taxation — Businesses; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Massachusetts | $500 | $500 | Annual Report Fee: $500 per year. Due the anniversary of the certificate of organization. Massachusetts is the most expensive state in the country in which to keep an LLC: $500 to form and $500 every year afterwards. Filing the annual report online or by fax adds an electronic surcharge on top of the $500. | Massachusetts Secretary of the Commonwealth — Corporations fee schedule; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Michigan | $50 | $25 | Annual Statement Fee: $25 per year. Due February 15. Michigan calls this an annual statement rather than an annual report, and an LLC formed after 30 September need not file on the February 15 that immediately follows. | Michigan LARA — LLC annual filings; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Minnesota | $155 | $0 | Annual Renewal (no fee): $0 per year. Due December 31. Minnesota charges nothing for the annual renewal while the LLC is active and in good standing, but the renewal is still mandatory — an LLC that skips it is administratively dissolved, and reinstatement is not free. | Minnesota Secretary of State — LLC forms and fees; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Mississippi | $50 | $0 | Annual Report (no fee): $0 per year. Due April 15. Mississippi charges no fee for a domestic LLC annual report, but the report is still required every year and missing it can lead to administrative dissolution. | Mississippi Secretary of State — Annual Reports; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Missouri | $50 | $0 | Annual Report Fee: $0 per year. Missouri LLCs file no Secretary of State annual report and pay no annual maintenance fee, though state taxes and local business licences still apply. Filing the initial articles online costs $50 against $105 on paper. | Missouri Secretary of State — Business FAQs; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Montana | $35 | $0 | Annual Report Fee (currently waived): $0 per year. Due April 15. Montana has waived the annual report fee for reports filed on time in 2026 and 2027, so the on-time cost is currently $0 — the report itself is still mandatory, and filing after April 15 forfeits the waiver. | Montana Secretary of State — annual report fee waiver; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Nebraska | $100 | $13 | Biennial Report Cost (shown per year): $13 annualized budget. Due April 1 of each odd-numbered year, delinquent June 16. Nebraska bills this report every two years, not every year, and the biennial filing is reported at $25 online or $30 on paper — the $13 shown here is roughly half of the $25, which is where the annualised figure comes from. Nebraska also charges $110 to file the Certificate of Organization in office, or $100 online — the $100 shown here is the online price. Late: administrative dissolution or revocation of authority, with reinstatement requiring a separate filing. | Nebraska Secretary of State — Annual/Biennial Reporting; agency text checked; 2026-08-25. Formation: Nebraska Secretary of State. |
| Nevada | $425 | $350 | Annual List + State Business Licence: $350 per year. Due the last day of the anniversary month of formation. Nevada's $350 is two separate obligations, not one report fee: a $150 annual list of managers or members under NRS 86.263 plus a $200 state business licence renewal under NRS 76.130. The $425 to form likewise combines $75 articles, a $150 initial list and the $200 licence. | Nevada Revised Statutes Chapters 86 and 76; agency text checked; 2026-08-25. Formation: Nevada Revised Statutes ch. 86 and 76. |
| New Hampshire | $100 | $100 | Annual Report Fee: $100 per year. Due April 1. Filing online adds a $2 processing fee to both the $100 formation fee and the $100 annual report. Formation: compiled survey; confirm the fee with the state. |
| New Jersey | $100 | $75 | Annual Report Fee: $75 per year. Due the last day of the anniversary month of formation. New Jersey cut this filing fee from $125 to $100 for all for-profit entities under A-5325/S-4534, signed 30 June 2026. | New Jersey P.L. 2026 (A-5325) statutory text; agency text checked; 2026-08-25. Formation: New Jersey Division of Revenue and Enterprise Services. |
| New Mexico | $50 | $0 | Recurring State Fee (Annual): $0 per year. | LLC filing fees by state (compiled survey); compiled survey; date unknown. Formation: compiled survey; confirm the fee with the state. |
| New York | $200 | $4.5 | Biennial Statement Fee: $9 per filing. Due during the calendar month in which the LLC was originally formed, every second year. New York also requires a newly formed LLC to publish notice in two newspapers (one daily, one weekly) in its county within 120 days and then file a Certificate of Publication. Newspaper rates vary by county and are not included in any figure on this page; in New York City they are commonly the largest single cost of forming the LLC. | New York Department of State — Biennial Statements; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| North Carolina | $125 | $200 | Annual Report Fee: $200 per year. Due April 15 each year after the year of creation. | Rhode Island | $150 | $50 | Annual Report Fee: $50 per year. Due between February 1 and May 1. This $50 is only the Department of State report fee. Every Rhode Island LLC must also pay a minimum annual tax of $400 to the RI Division of Taxation, so the real recurring floor is about $450 a year, not $50. | Rhode Island Department of State — Costs and Fees; agency text checked; 2026-08-25. Formation: Rhode Island Department of State. |
| South Carolina | $110 | $0 | Recurring State Fee (Annual): $0 per year. | LLC filing fees by state (compiled survey); compiled survey; date unknown. Formation: compiled survey; confirm the fee with the state. |

| Tennessee | $300 | $300 | Annual Report Fee: $300 per year. Due the first day of the fourth month after the fiscal year closes. Tennessee's $300 is a MINIMUM, not a flat fee. Both the formation fee and the annual report are charged at $50 per member, subject to a $300 minimum and a $3,000 maximum, so a six-member Tennessee LLC pays $300 while a sixty-member LLC pays $3,000. A separate state franchise tax with a $100 minimum also applies. | Tennessee Secretary of State — Business Services FAQ; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Texas | $300 | $0 | Annual Report Fee: $0 per year. Due May 15. Texas charges no annual report fee, but every Texas LLC must still file an annual Public Information Report or Ownership Report, and owes franchise tax once total revenue exceeds the No Tax Due threshold of $2,650,000 (2026) at 0.375% for retail or wholesale and 0.75% otherwise. | Texas Comptroller of Public Accounts — Franchise Tax; agency text checked; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Utah | $59 | $18 | Recurring State Fee (Annual): $18 per year. | LLC filing fees by state (compiled survey); compiled survey; date unknown. Formation: compiled survey; confirm the fee with the state. |
| Vermont | $155 | $45 | Annual Report Fee: $45 per year. Due within three months after the end of the fiscal year. The $45 is the Secretary of State report fee only. A Vermont LLC taxed as a pass-through entity also owes the Business Entity Income Tax, which carries a $250 minimum, so the practical recurring floor is nearer $295. | Vermont Statutes 11 V.S.A. § 4012 — Fees; agency text checked; 2026-08-25. Formation: Vermont Secretary of State (11 V.S.A. § 4012). |
| Virginia | $100 | $50 | Annual Registration Fee: $50 per year. No annual report. Due the last day of the anniversary month of formation. The $50 is a registration fee — a payment, not a filing — and it is collected by the State Corporation Commission rather than a Secretary of State. | Virginia State Corporation Commission — Annual Registration Fees; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
| Washington | $200 | $70 | Annual Report Fee: $70 per year. Due the last day of the anniversary month of formation. Washington raised this fee to $70 under WAC 434-112-085(7). The $180 formation fee shown on the state fee schedule is the mail or in-person price; filing online costs more once the portal processing fee is added. Late: a $25 delinquency fee. | Washington Secretary of State — LLC/PLLC Filing Resource Page; agency text checked; 2026-08-25. Formation: Washington Secretary of State. |
| West Virginia | $100 | $25 | Recurring State Fee (Annual): $25 per year. | LLC filing fees by state (compiled survey); compiled survey; date unknown. Formation: compiled survey; confirm the fee with the state. |

| Wyoming | $100 | $60 | Annual Report License Tax: $60 per year. Due the first day of the anniversary month of formation. Wyoming's $60 is a MINIMUM, not a flat fee. The annual report license tax is the greater of $60 or $0.0002 per dollar of assets located and employed in Wyoming, so an asset-heavy Wyoming LLC pays materially more than the figure shown here. | Wyoming Secretary of State — Business Fee Schedule; agency reference; amount not independently confirmed; 2026-08-25. Formation: compiled survey; confirm the fee with the state. |
Budget estimates exclude business-specific liabilities. The $150 agreement allowance and $125 starting agent amount are editable planning assumptions, not government fees. A recurring $0 can still require a report; use the state-specific notes and official instructions.

Frequently Asked Questions
Is a zero report fee the same as no filing requirement?
No. Some states require a report even when its fee is zero. Other states collect a tax without an annual report. The state table identifies the obligation and retains each source’s qualifications; a zero dollar amount does not waive a filing.
Are these current state fee quotes?
The table carries the existing fee dataset and its recorded source dates. Some entries have primary-source evidence; others remain compiled-survey or official-secondary figures. No new source check is claimed here. Verify the official filing instructions before paying.
